INTRODUCTION
These Terms and Conditions ("Terms"), as may be amended, modified, or supplemented at any time, govern your access to and use of the PAY-TUBE.COM platform, services, and network (collectively, the "Service") operated by PAY-TUBE.COM, Inc., a publicly traded corporation under the NASDAQ ("Company", "we", "us", or "our"). By accessing or using the Service, you ("User", "Content Creator", or "you") agree to be bound by these Terms. If you disagree with any part of the Terms, then you do not have permission to access the Service.
1. ELIGIBILITY
To use the Service, you must be 18 years of age or older, or the age of majority in your jurisdiction, whichever is greater. By using the Service, you represent and warrant that you meet these eligibility requirements.
2. USER REGISTRATION AND ACCOUNT
You may be required to register an account to access certain features of the Service. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. The Company reserves the right to suspend or terminate your account if any information provided during the registration process or thereafter proves to be inaccurate, not current, or incomplete. You are responsible for safeguarding your account password and for all activities that occur under your account.
3. CONTENT OWNERSHIP AND LICENSE
3.1 As between you and the Company, you retain all rights in and to the content you submit, post, display, or otherwise make available on the Service ("User Content"). By submitting User Content, you grant the Company a worldwide, royalty-free, non-exclusive, transferable, sublicenseable license to use, reproduce, modify, perform, display, distribute, and otherwise disclose to third parties such User Content in connection with the Service.
3.2 You represent and warrant that you own or have the necessary licenses, rights, consents, and permissions to User Content and to authorize the Company to use it in the manner contemplated by the Service and these Terms.
4. REVENUE SHARING
4.1 Subject to your compliance with these Terms, the Company agrees to pay you eighty percent (80%) of net earnings ("Net Earnings") generated by your User Content. Net Earnings are defined as revenues actually received by the Company from advertisers and/or partners less any applicable deductions (e.g., processing fees, taxes, chargebacks).
4.2 Payments to Content Creators will be made on a monthly basis, provided that the total amount due to you exceeds one hundred dollars (USD 100). Any amounts below this threshold will be carried over to the next payment period.
5. PROHIBITED CONDUCT
You agree not to use the Service in any way that:
5.1 Is unlawful, illegal, or that promotes illegal activities.
5.2 Infringes on the intellectual property rights or other rights of any other person or entity.
5.3 Is harmful, threatening, abusive, harassing, tortuous, defamatory, vulgar, obscene, libelous, or otherwise objectionable.
5.4 Involves the transmission of "junk mail," "spam," or any other unsolicited mass mailing or communications.
5.5 Attempts to impersonate any person or entity or otherwise misrepresents your affiliation with a person or entity.
6. TERMINATION
The Company may suspend or terminate your account and block any and all current or future use of the Service (or any part thereof) if we determine that you have violated these Terms or for any other reason at the Company's sole discretion.
7. DISCLAIMER OF WARRANTIES; LIMITATION OF LIABILITY
The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Company expressly disclaims all warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. The Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your access to or use of, or inability to access or use, the Service.
8. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless the Company, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable attorney’s fees and costs, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any third-party rights.
9. GOVERNING LAW AND JURISDICTION
These Terms shall be governed by and construed in accordance with the laws of the State of [State], United States, without regard to its conflict of law provisions. You agree to submit to the personal jurisdiction of the federal and state courts located in [State], United States for any legal actions or proceedings arising out of or relating to these Terms or your use of the Service.
10. MISCELLANEOUS
These Terms constitute the entire agreement between you and the Company concerning the Service and supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between you and the Company with respect to the Service. If any provision of these Terms is found to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the other provisions of these Terms will remain in full force and effect.
